Please read these Terms of Use ("Terms") carefully before using the FileManage-Pro mobile application ("the App") provided by FileManage-Pro ("we," "our," or "us"). By using the App, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please refrain from using the App.

 

1. License and App Usage:

 

a. Grant of License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes, subject to compliance with these Terms.

 

b. Restrictions: You shall not:

   - Copy, modify, distribute, sell, lease, sublicense, or transfer the App or any portion thereof without our prior written consent;

   - Use the App for any illegal or unauthorized purpose;

   - Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App or any related technology;

   - Remove or modify any copyright, trademark, or other proprietary rights notices present in the App;

   - Use the App in a manner that could impair or interfere with the functioning or security of the App or any related systems or networks.

 

2. User Content:

 

a. Content Ownership: You retain all ownership rights to any content you create or upload to the App. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, modify, reproduce, and distribute such content for the purpose of providing and improving the App's features and functionality.

 

b. Prohibited Content: You shall not submit or upload any content that is unlawful, infringing, offensive, harmful, or violates the rights of any third party.

 

3. Intellectual Property:

 

a. Ownership: The App, including all content, features, and functionality, is owned by FileManage-Pro and is protected by copyright, trademark, and other intellectual property laws. You acknowledge that the App contains proprietary information and materials that are owned by FileManage-Pro.

 

b. Trademarks: The FileManage-Pro name, logo, and any other FileManage-Pro product or service names are trademarks of FileManage-Pro. You shall not use these trademarks without our prior written consent.

 

4. Disclaimer of Warranties:

 

a. The App is provided on an "as-is" and "as available" basis. We do not warrant that the App will be error-free, secure, or uninterrupted. You use the App at your own risk.

 

b. We disclaim all warranties, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

 

5. Limitation of Liability:

 

a. To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with your use of the App.

 

b. Our total liability to you for any claims arising out of or related to the App shall not exceed the amount paid by you, if any, for accessing and using the App.

 

6. Indemnification:

 

You agree to defend, indemnify, and hold FilePro and its affiliates, officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, demands, or expenses arising out of or in connection with your use of the App or any violation of these Terms.

 

7. Termination:

 

We reserve the right to suspend or terminate your access to the App at any time, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

 

8. Governing Law and Jurisdiction:

 

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where FileManage-Pro is located. Any legal action or proceeding arising out of or relating to these Terms shall be exclusively brought in the competent courts of that jurisdiction.

 

9. Severability:

 

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

 

10. Entire Agreement:

 

These Terms constitute the entire agreement between you and FileManage-Pro regarding the use of the App and supersede any prior agreements or understandings.
